The Bank’s performance obligations for fees and other service charges are largely satisfied, and related revenue recognized, when the services are rendered. Payment is typically received immediately or in the following month. The Bank’s performance obligation for the gains and losses on sales of other real estate owned is satisfied, and the related revenue recognized, after each sale of other real estate owned is closed. Additionally, other operating income includes software-as-a-service fee income from Victor. This revenue stream is facilitated through hosting agreements that provide clients of Victor with access to Victor's embedded payments management platform. The performance obligation is satisfied over time, and therefore software-as-a-service fee income is recognized over the life of the contract.
Stock-Based Compensation
Compensation cost is recognized for stock options and restricted stock units (“RSUs”), including time- and performance-based RSUs, issued to employees, based on the fair value of these awards at the date of grant. A Black-Scholes model is utilized to estimate the fair value of stock options. Compensation cost is recognized over the required service period, generally defined as the vesting period. For awards with graded vesting, compensation cost is recognized on a straight-line basis over the requisite service period for the entire award. Any compensation expense related to unvested stock option awards is reversed at the time of forfeiture.

We provide innovative strategies to independent banking and corporate clients throughout the United States. Our dedicated Fintech team specializes in providing banking services to corporate Fintech clients, primarily focusing on operational risk management and compliance. Managing banking relationships with clients in the gaming, payments and banking-as-a-service industries is complex, from an operational and regulatory perspective. Due to this complexity, a limited number of banking institutions serve these industries, which can result in a lack of quality focus on these entities, providing us with an expanded pool of potential customers. When serviced safely and efficiently, we believe these industries provide a source of stable, lower-cost deposits and noninterest, fee-based income. Victor, a wholly-owned subsidiary of Edge Ventures, was formed to develop technology to make it faster, easier and cost effective to launch and scale a broad spectrum of solutions for the gaming, payments and banking-as-a-service sectors. Business overlap uses industry tags from annual filings released in 2025. Each core activity receives full weight; each material activity receives one quarter of that weight. Rarer industries carry more weight. We sum the smaller exposure for each shared activity and divide it by the sum of the larger exposure for every activity in either company. This measures business overlap, rather than price correlation or expected returns.
Search eligibility requires distinct issuers, a shared core category and at least 20% weighted overlap, supported by industry or sector evidence and specific business activities. Broad classifications require stronger overlap within the same sector. Comparisons also need at least 252 shared price observations within two years, recent trading and a common sourced revenue or net-income trend. Missing P/E or gross margin alone does not exclude a comparison. The eligibility snapshot refreshes daily. Related comparisons use a separate, stricter peer rule; their ten-peer discovery limit does not limit search eligibility. Other stock pairs remain available in the comparison tool.
