ITEM 1. BUSINESS Overview We are a clinical-stage specialty pharmaceutical company developing and commercializing therapies for the treatment of retinal diseases. We were originally incorporated in 1998 under the name of Optis France S.A. in Paris, France. We were formed as a Delaware corporation on December 28, 2004, under the name of EyeGate Pharmaceuticals, Inc., and changed our name to Kiora Pharmaceuticals, Inc. effective November 8, 2021 in connection with a merger of one of our wholly owned subsidiaries. We are developing KIO-301, with an initial focus on patients with later stages of vision loss due to retinitis pigmentosa (collectively including any and all sub-forms, "RP").
("Bayon") transaction which closed October 21, 2021. We are also developing KIO-104 for the treatment of retinal inflammatory diseases, including Diabetic Macular Edema (DME) and Posterior Non-Infectious Uveitis, a rare T cell-mediated, intraocular inflammatory disease. KIO-104 is a novel and potent, non-steroidal small-molecule inhibitor of dihydroorotate dehydrogenase ("DHODH") formulated for intravitreal delivery, and is ideally suited to suppress overactive T-cell activity to treat the underlying inflammation. We believe KIO-104 to be best-in-class with picomolar potency and a validated immune modulating mechanism of action designed to overcome the off-target side effects and safety issues associated with commercially available DHODH inhibitors.

PART I Item 1. Business Overview and Recent Developments We are a clinical stage biopharmaceutical company focused on developing novel therapies for the treatment of orphan pulmonary and fibrosis indications with no approved or limited effective treatments. We currently have two product candidates in clinical development, LTI-03 and LTI-01, and multiple candidates in preclinical development focused on fibrosis indications. Our pipeline includes: •LTI-03, a peptide for which we conducted a Phase 1b dose-ranging, placebo-controlled safety, tolerability, and pharmacodynamic biomarker activity trial in development for the treatment of Idiopathic Pulmonary Fibrosis, or IPF, that has demonstrated the ability in both preclinical studies and clinical trials to protect healthy lung epithelial cells and reduce pro-fibrotic signaling;
•LTI-01, a proenzyme that completed a Phase 2a dose-ranging, placebo-controlled trial and a Phase 1b safety, tolerability and proof of mechanism trial in loculated pleural effusion, or LPE, patients, an indication that has no approved drug treatment; and •preclinical programs targeting cystic fibrosis and a peptide program focused on the Cav1 protein for systemic fibrosis indications.

Unfortunately, today's ocular surface anti-inflammatory medicines are usually not sufficient to treat OPRA+ as they are broad and not targeted to the underlying pathophysiology. RA, as well as OPRA+, are T-cell mediated auto-inflammatory diseases and whilst rheumatologists are helping the systemic manifestations of this disease with approved targeted t-cell modulators, including DHODH inhibitors, ophthalmologists do not have the same toolbox of treatments designed specifically to help patients with ocular presentation. Our Solution: KIO-101 As noted above, KIO-101 is a member of a family of DHODH inhibitors, known to be disease modifying agents in autoimmune diseases. KIO-101 is a topical ophthalmic formulation of the same API as KIO-104.

Behind the comparison

Sources and methodology

Price return uses split-adjusted daily closes and excludes dividends. Both stocks start on the first shared trading day within the selected window. Unavailable metrics leave gaps.

Financials use SEC canonical statements available by the displayed cutoff, retaining each company's fiscal period end. Annual and quarterly amounts are shown separately. P/E is unavailable when earnings do not support a positive ratio.

Business overlap uses industry tags from annual filings released in 2025. Each core activity receives full weight; each material activity receives one quarter of that weight. Rarer industries carry more weight. We sum the smaller exposure for each shared activity and divide it by the sum of the larger exposure for every activity in either company. This measures business overlap, rather than price correlation or expected returns.

Search eligibility requires distinct issuers, a shared core category and at least 20% weighted overlap, supported by industry or sector evidence and specific business activities. Broad classifications require stronger overlap within the same sector. Comparisons also need at least 252 shared price observations within two years, recent trading and a common sourced revenue or net-income trend. Missing P/E or gross margin alone does not exclude a comparison. The eligibility snapshot refreshes daily. Related comparisons use a separate, stricter peer rule; their ten-peer discovery limit does not limit search eligibility. Other stock pairs remain available in the comparison tool.
