We are a commercial-stage healthcare company focused on transforming treatments for critically ill patients facing organ failure and potential loss of life. Our Selective Cytopheretic Device (“SCD”) is designed as a disease-modifying device that neutralizes over-active immune cells and stops the cytokine storm that yields destructive hyperinflammation and creates a cascade of events that wreak havoc in the patient’s body. It has broad potential applications for patients suffering from both acute and chronic kidney disease as well as cardiovascular and other serious inflammatory diseases. We received Food and Drug Administration (“FDA”) approval on February 21, 2024, under a Humanitarian Device Exemption (“HDE”) for our pediatric SCD therapy. It is the only FDA approved product for use in pediatric patients with acute kidney injury (“AKI”) due to sepsis or a septic condition requiring kidney replacement therapy. We shipped our first commercial pediatric SCD (“QUELIMMUNE”) in July 2024. In addition, we are currently conducting a pivotal clinical trial to assess the safety and efficacy of the SCD therapy in critically ill adult patients with AKI requiring continuous renal replacement therapy (“CRRT”). current focus is multi-fold. We continue to support the commercial expansion and execution of EsoGuard, which is the flagship
product of our subsidiary Lucid Diagnostics, of which we remain the shareholder with the largest voting interest. In addition,
through a separate majority-owned subsidiary, Veris Health, we offer the Veris Cancer Care Platform. We are focused in the immediate
term on entering into strategic partnership opportunities with leading academic oncology systems to expand access to the Veris
Cancer Care Platform, while concurrently developing an implantable physiological monitor, designed to be implanted alongside a
chemotherapy port, which will interface with the Veris Cancer Care Platform. Veris
Health’s lead product, the Veris Cancer Care Platform, is a comprehensive digital cancer care platform with remote physiological
data collection, symptom reporting, telehealth capability and electronic health record (“EHR”) integration. The platform offers enhanced
personalized cancer care through the early detection of complications, reduced unplanned hospitalizations, the provision of longitudinal
trends of physiological and clinical data, data-driven risk management tools, and increased patient and provider satisfaction. Cancer

A complementary patient portal enables patients to report
symptoms, as well as general health and quality of life parameters, to their cancer care team through the Veris patient smartphone app.
The app also allows caretakers and family members to follow along on the patient’s cancer care journey. Veris is developing an
implantable physiological monitor, designed to be implanted alongside a vascular access port, which will interface with the Veris Cancer
Care Platform. The implantable monitor will further enhance the clinical and commercial value of the platform by providing remote physiologic
data independent of patient compliance.

Opportunity Our
PortIO implantable intraosseous vascular access device is being developed as a means for infusing fluids, medications and other substances
directly into the bone marrow cavity and from there into the central venous circulation. The intraosseous route provides a means for
infusing fluids, medications and other substances directly into the bone marrow cavity which communicates with the central venous circulation
via nutrient and emissary veins. This route is well established, having been used for decades in a variety of settings including trauma,
especially military trauma, and pediatric emergencies. It has been shown to be bioequivalent to the intravenous route. Complication rates
are low and there are few contraindications. Currently available intraosseous devices pass through the skin into the bone and are therefore
limited to short term use. Read the annual filing ↗ ICU Material Annual filing released 2025-03-27 · GPT 6 Luna

It has broad potential applications for patients suffering from both acute and chronic kidney disease as well as cardiovascular and other serious inflammatory diseases. The mechanism of action of our SCD therapy consists of three elements: (i) selectively binding activated neutrophils and monocytes on our SCD biomimetic membrane (ii) deactivating the activated neutrophils by maintaining a specified ionized calcium level within our SCD, and (iii) shifting proinflammatory monocytes to a lower inflammatory profile. Our SCD utilizes clinically validated regional citrate anticoagulation protocols to lower the ionized calcium level, which not only prevents clotting within the circuit but also immuno-modulates the activated neutrophils and monocytes, which are then returned to the patient.
6
Calcium is then infused into the blood returning to the patient from the SCD, thereby maintaining normal calcium levels in the patient throughout the process.

We procure conventional components such as tubing sets, clamps, fittings, and labels from various suppliers. These components are then used in our assembly of SCD clinical kits. Critical components are procured from suppliers that have been approved and qualified through our supplier management program. Fresenius Medical Care North America (“FMCNA”) is the current supplier of the cartridges used in our SCD. We lease our headquarters in addition to our final assembly, warehousing and fulfillment facilities at 3513 Brighton Boulevard, Denver, Colorado 80216 pursuant to a lease agreement on a month-to-month basis. Veris
Health
Overview
In
May 2021, we formed Veris Health, a majority-owned subsidiary, focused on digital health technology. In connection with its formation,
Veris Health acquired Oncodisc, a digital health company with groundbreaking tools to improve personalized cancer care through remote
patient monitoring. Oncodisc’s core technologies include designs and patents that would be the foundation for the first intelligent
implantable vascular access port with biologic sensors and wireless communication, combined with an oncologist-designed remote digital
healthcare platform that provides patients and physicians with new tools to improve outcomes and optimize the delivery of cost-effective
care through remote monitoring and data analytics.

is collecting, as resources permit. We have identified multiple potential use cases across a number of verticals, including clinical
trials, commercial use cases, and as a means to improve patient care.

Business overlap uses industry tags from annual filings released in 2025. Each core activity receives full weight; each material activity receives one quarter of that weight. Rarer industries carry more weight. We sum the smaller exposure for each shared activity and divide it by the sum of the larger exposure for every activity in either company. This measures business overlap, rather than price correlation or expected returns.
Search eligibility requires distinct issuers, a shared core category and at least 20% weighted overlap, supported by industry or sector evidence and specific business activities. Broad classifications require stronger overlap within the same sector. Comparisons also need at least 252 shared price observations within two years, recent trading and a common sourced revenue or net-income trend. Missing P/E or gross margin alone does not exclude a comparison. The eligibility snapshot refreshes daily. Related comparisons use a separate, stricter peer rule; their ten-peer discovery limit does not limit search eligibility. Other stock pairs remain available in the comparison tool.
